PREAMBLE
The UPGBI invokes the aid of Divine Providence to form an association grounded on democratic principles, rejecting hatred and jealousy, and fostering brotherhood, justice, peace, discipline, service, and equality.
ARTICLE I – NAME AND DOMICILE
1. The association is officially UNITED PANIQUI GUARDIANS BROTHERHOOD INCORPORATED, SEC Reg. No. 123457890 (Sept 27, 2025).
2. Headquarters: Oasis de Manor Resort, Paniqui, Tarlac.
3. Members are called UNITED PANIQUI GUARDIANS.
4. Explanation of the name “Paniqui Guardians” — denotes gentlemen and united associates of the Filipino race with courage, humanitarian spirit, and noble character.
5. “GUARDIANS” acronym breakdown:
o G – Gentlemen
o U – United
o A – Associates
o R – Race
o D – Dauntless
o I – Ingenuous
o A – Advocator
o N – Nation
o S – Society
6. Motto: “Brotherhood for Peace and Prosperity.”
Colors: Red, Yellow, Black, and Blue.
ARTICLE II – NATIONAL SEAL
• The logo includes three stars (Luzon, Visayas, Mindanao), a ring, and gold/yellow ribbons symbolizing honor and purpose.
• Blue and red represent nationalism; the Golden Roman Eagle (Aquila) symbolizes strength and leadership.
• Inscription encircled by semi-circles representing brotherhood, justice, peace, discipline, service, and equality.
ARTICLE III – DECLARATION OF PRINCIPLES
1. Belief in Divine Providence and divine truth.
2. Adherence to the Philippine Constitution and laws; operates as non-stock, non-profit, non-sectarian, and non-government.
3. “Brotherhood” extends beyond words — aims for unity, cooperation, and sustainable development.
4. Protection of the name “GUARDIANS” under SEC Reg. No. 1234567890 from misuse.
ARTICLE IV – PURPOSES AND OBJECTIVES
1. Promote love of God, respect for authority, and service for others.
2. Encourage harmony, unity, and cooperation among members.
3. Undertake development activities for general welfare.
4. Generate funds for association activities.
5. Provide financial, legal, and other assistance to members.
ARTICLE V – MEMBERSHIP
Section 1. Qualifications
• Must be a Filipino citizen, in good standing, aged 21+, of good moral character, in good health, and gainfully employed or self-sustaining.
• Special provisions for AFP, PNP, BJMP, BFP, PCG, Reservists, etc.
• Education: at least 108 college units or equivalent special skill.

ARTICLE VI – FUNCTIONS OF NATIONAL OFFICERS
Section 1. National Chairperson
• Presides over Congress and Council meetings
• Issues directives, represents UPGBI, acts as Chief Officer
Section 2. National President
• Acts as CEO, presides over the Executive Committee, represents UPGBI, manages operations, and executes contracts with Council approval.
Section 3. National Executive Vice President
• Assumes duties of the President when absent; acts as Deputy CEO.
Section 4. National Vice Presidents (NCR, Luzon, Visayas, Mindanao)
• Supervise regional leaders and serve as regional CEOs.
Section 5. National Secretary
• Heads the Secretariat, recommends deputies, and performs assigned duties.
Section 6. National Treasurer
• Plans the budget, manages funds, and performs related duties.
Section 7. National Auditor
1. Check and audit all resources and funds of the organization
2. Form auditing teams to investigate any reported financial anomalies.
3. Perform such other duties and functions as the National President may require him to do from time to time.
Section 8. The National Comptroller shall:
1. Safeguard the properties and finances of the UPGBl.
2. Make inventory of all properties, moneys and donations.
3. Perform such other duties and functions as the National President may require him to do from time to time.
Section 8. The National Counsel shall:
1. Act as the legal counsel of the national bodies of the UPGBl
2. Make representation on behalf of UPGBl in regard to all legal matters.
3. Perform such other duties and functions as the National President may require him to do from time to time.
Chapter VII
DISTRIBUTION OF POWERS
Section 12. Triad Power.
The government of the GUARDIANS National District shall be distributed among three distinct bodies, namely: the Executive, Legislative and Judicial.
Section 13. Executive Powers.
The Executive Powers in the GUARDIANS National District shall be vested in and exercised by the National Executive Council with the National Chairman as Chief Executive, his Executive Assistants or Cabinet Officers and other National Officers.
Section 14. Legislative Powers.
The Legislative Powers in the GUARDIANS National District shall be vested in and exercised by the National Assembly with the National Vice Chairman for Legislature as the Presiding Officer.
Section 15. Judicial Powers.
The Judicial Powers in the GUARDIANS National District shall be vested in and exercised by the National Tribunal with the National Vice Chairman for Judiciary as the Highest Officer.
Chapter VIII
THE NATIONAL EXECUTIVE COUNCIL, POWERS, DUTIES AND FUNCTIONS
Section 16. The Chief Executive and his Cabinet.
The National Chairman shall be the Chief Executive of the Guardians National District. His Cabinet Officers or Chief Executive Assistants shall be, although not limited to the following: the National Director General, National General Marshal, National Chief Arbiter, National Deputy General Marshal, National Deputy Director General, National Arbiters, National Commissioners, National Arbitrators, National Editor General, National General Trainor, National Protocol Director, National Congress Director, National Project Director, National Secretary General, National General Treasurer, National Auditor General, National Information General, National Finance General, National General Comptroller and such other National Officers as may be appointed by the National Chairman or as may be elected by the National Assembly.
Section 17. National Executive Officers.
The National Executive Officers of the GUARDIANS National District shall be the following:
a) National Chairman
b) The National Secretary General and his Deputy or Deputies, if any, who shall be appointed by the National Chairman and whose appointments shall be duly ratified and confirmed by the National Commission on Appointments.
c) The National General Treasurer who shall be appointed by the National Chairman and whose appointment shall be duly ratified and confirmed by the National Commission on Appointments.
d) The National Auditor General who shall be appointed by the National Chairman and whose appointment shall be duly ratified and confirmed by the National Commission on Appointments.
e) The National Information General who shall be appointed by the National Chairman and whose appointment shall be duly ratified and confirmed by the National Commission on Appointments.
f) The National Finance General who shall be appointed by the National Chairman and whose appointment shall be duly ratified and confirmed by the National Commission on Appointments.
g) The National General Comptroller who shall be appointed by the National Chairman and whose appointment shall be duly ratified and confirmed by the National Commission on Appointments.
h) The National Director General of the GUARDIANS National Institute of Leadership who shall be appointed by the National Chairman and whose appointment shall be duly ratified and confirmed by the National Commission on Appointments.
i) The National Editor General of the GUARDIANS National Forum and its Executive Board and Staff Members who shall be appointed by the National Chairman and whose appointments shall be duly ratified and confirmed by the National Commission on Appointments.
j) Other Chief Executive Assistants and such Deputy Executive Officers on organizational affairs who shall be appointed by the National Chairman, whose appointments shall be duly ratified and confirmed by the Commission on Appointments.
k) The National Director General of the National Constitutional Commissions who shall be elected by the majority members National Assembly.
Section 17 (Continued): Appointments by the National Chairman
• l) National General Marshal of the National Grievance Machinery:
o Elected by the majority of National Assembly members.
• m) National Commissioners of the different National Commissions:
o Appointed by the National Chairman.
o Ratified and confirmed by the National Commission on Appointments.
• n) National Protocol Director of the GUARDIANS National Protocol:
o Appointed by the National Chairman.
o Ratified and confirmed by the National Commission on Appointments.
• o) National Congress Director:
o Appointed by the National Chairman.
o Ratified and confirmed by the National Commission on Appointments.
• p) National Comelec Director of the National Commission on Elections:
o Appointed by the National Chairman.
o Ratified and confirmed by the National Commission on Appointments.
Section 18: National Chairman
The National Chairman shall:
• a) Be the Chief Executive of the GUARDIANS National District.
• b) Appoint National Executive/Cabinet Officers, including:
o National Commissioners, Arbitrators, Arbiters, Editor General, National Director General, Comelec Director, Protocol Director, Congress Director, Secretary General, General Treasurer, Auditor General, Information General, Finance General, General Comptroller, and others as defined by charter/statutes.
• c) Execute all contracts (acquisition, disposition, etc.) of GUARDIANS National District property, with National Assembly approval.
• d) Represent the Grand Master Founder and GUARDIANS International in official functions.
• e) Conduct regular Chapter visits and dialogue.
• f) Exercise powers/duties as provided by the Charter or statutes, or as inherent/incidental to the office.
Section 19: National Vice Chairman for Legislature
Shall:
• a) Be presiding officer of the National Assembly.
• b) Represent National Chairman in official GUARDIANS National District functions.
• c) Exercise powers vested by the Charter/statutes.
• d) Perform duties as assigned by National Chairman or Assembly.
Section 20: National Vice Chairman for Judiciary
Shall:
• a) Be the highest officer of the National Tribunal.
• b) Oversee all functions of the Tribunal.
• c) Preside over National Assembly sessions in case of temporary incapacity of Legislative Vice Chairman.
• d) Assist in developing/expanding GUARDIANS National Branches, Sectoral Organs, and Special Groups.
• e) Assist in effective coordination, organization, and project implementation.
• f) Perform duties as assigned by the National Chairman or Assembly.
Section 21: Vacancy Procedures
• In case of death, resignation, or inability of the National Chairman:
o National Vice Chairman for Legislature becomes Chairman.
o International Vice Chairman for Judiciary becomes Vice Chairman for Legislature.
o National Assembly elects a new Vice Chairman for Judiciary from among themselves.
• Chairman and both Vice Chairmen serve 2-year terms.
Section 22: National Secretary General
Shall:
• a) Be Chief Administrative Officer of GUARDIANS National District.
• b) Be a voting member of the National Assembly.
• c) Appoint Secretariat personnel (with Chairman's approval).
• d) Monitor subordinate Chapters and groups.
• e) Perform duties as assigned by Chairman or Assembly.
Section 23: National Information General
Shall:
• a) Lead publicity for GUARDIANS National District and affiliated bodies.
• b) Issue statements (with Chairman's approval).
• c) Monitor and collate Chapter activities for media.
• d) Create information systems/models to promote the District.
• e) Supervise and direct the GUARDIANS National Forum.
• f) Perform other duties as assigned.
Section 24: National Finance General
This section is cut off in the image and continues beyond what’s visible.
Section 25. The National General Treasurer shall:
a) Collect and deposit all money received by the GUARDIANS National District and issue receipts therefore.
b) Disburse with the approval of the National Chairman such moneys or funds necessary or incidental to the financial operations of the GUARDIANS National District.
c) Perform and discharge such other duties and functions as the National Chairman or the National Assembly may require him to do and as are inherent or incidental to his position or office.
Section 26. National Auditor General
The National Auditor General shall pass in audit all disbursements and expenditures of the GUARDIANS National District.
He shall have such other duties and functions as the National Chairman or the National Assembly may require him to do and as are inherent or incidental to his position or office.
Section 27. The National General Comptroller
The National General Comptroller shall safeguard the properties and finances of the GUARDIANS National District and shall have inventory of all properties, moneys and donations to include funds to any project extended by the government to the GUARDIANS National District or to its Branches, Organs, and Groups.
He shall have such other duties and functions as the National Chairman or the National Assembly may require him to do from time to time.
Section 28. The Cabinet or National Executive Assistants
The Cabinet or National Executive Assistants and other National Executive Officers shall perform duties and discharge functions as specified in their appointments or designation.
Chapter IX – THE NATIONAL ASSEMBLY
COMPOSITION, POWERS, DUTIES AND FUNCTIONS
Section 29. The Legislative Body
The Legislative power of the GUARDIANS National District shall be vested in one assembly called the National Assembly.
The composition shall be the following:
a. The Grand Master Founders, Charter International Chairman, Supreme Master Founders, Pioneer Master Founders, Charter National Founders, Charter National President, National Founders, District Master Founders.
b. The National Coordinators, Zonal District Coordinators and Regional Coordinators.
c. National Chairman, National Vice Chairman for Legislature, National Vice Chairman for Judiciary, National Director General, National General Marshal, National Consultant General, Associate Consultant General, Zonal District Chairmen and Regional Chairmen.
d. National Branch Chief Executives, Chief Executives of the Zonal Chapters particularly Luzon, Visayas, Mindanao, National Capital Regions and Regional Chief Executives.
e. Cabinet or National Executive Officers who maybe appointed by the National Chairman such as, but not limited to, the National Chief Arbiter, National Commissioner, National Chief Arbitrator, National Editor General, National Director General, National Protocol Director, National Comelec Director, National Congress Director, National Secretary General, National General Treasurer, National Auditor General, National Information General, National Finance General, National General Comptroller and other National Executive Officers whose appointments are vested in the National Chairman and who shall have become members of the National Assembly by virtue of said appointments.
Section 30. National Assembly Powers and Functions
The National Assembly shall be the rule-making or policy-making body of the GUARDIANS National District. It shall further exercise all powers, authorities and functions which are not otherwise expressly or clearly provided in the Constitution, GUARDIANS Administrative Code or Statute.
Chapter X – NATIONAL TRIBUNAL
Section 31. Judicial Body
The "Judicial" powers of the GUARDIANS National District shall be vested in one tribunal called the National Tribunal.
Section 32. Composition
The National Tribunal shall be composed of one (1) National Chief Arbiter and four (4) National Arbiters who shall be appointed by the National Chairman and whose appointment shall be duly ratified and confirmed by the Commission on Appointment with the National Vice Chairman for Judiciary as the Highest Officer.
Section 33. Powers, Duties and Functions
The National Tribunal shall:
a) Be the impartial body to settle a dispute and all internal problems and controversies affecting and brought to it as a judicial matter by the GUARDIANS National District, its Branches, Organs, Groups or its Chapters, Officers and members.
b) Hear and decide all election contests affecting the National Chairman, Chief Executives of the Branches, Organs Groups and Assemblymen as well as other officers of the National Assembly.
c) Hear and decide all complaints affecting the internal problems and controversies of Branches, Organs and Groups duly affiliated to the GUARDIANS National District or their Officers and Members.
d) Review the decision of the Commission of Elections brought to it on appeal on an election contest.
Section 34. Original Appellate Jurisdiction.
The Central Tribunal shall decide all complaints originally filed with it within forty (40) days from the filing thereof.
Cases brought on appeal or review to the National Tribunal shall be resolved within fifteen (15) days from notice of appeal.
Section 35. National Grievance Machinery.
The National Grievance Machinery (NGM) shall prescribe the procedure in the investigation and disposition of the complaints against members of the GUARDIANS National District, its Branch, Organs and Group or its officers and members before the National Tribunal.
Chapter XI: THE NATIONAL CONSTITUTIONAL COMMISSIONS
Section 36. National Constitutional Commissions
Duties and Functions of the National Constitutional Commissions:
The twenty (26) National Constitutional Commissions created under Article X111 of the Constitution shall primarily be the planning arms of the GUARDIANS National District.
The National Chairman shall appoint a National Director General as Head of the National Constitutional Commissions and may create and appoint additional National Constitutional Commissions to be headed by a National Commissioner and whose appointment shall be duly ratified and confirmed by the Commission on Appointment.
Each Commission shall:
a) Initiate and make studies, reports and programs pertaining to its sphere and submit the same to the Secretariat and the National Assembly for proper evaluation, dissemination and action;
b) If called, act as technical consultant to the National Assembly;
c) Initiate plans on projects of any category for submission to the National Assembly.
d) Submit a monthly report to the Secretariat of the activities of the Commission.
e) Perform and discharge such other duties and functions as the National Chairman or the National Assembly may require the Commission to do from time to time.
Chapter XII: THE NATIONAL DEVELOPMENT COMMISSION
Section 37. National Development Commission.
There is hereby created the National Development Commission which shall be headed by a National Commissioner to be appointed by the National Chairman and whose appointment shall be approved or confirmed by the National Commission on Appointments.
Section 38. The National Development Commission shall:
a) Monitor all Branches, Legions and Groups activities and submit a monthly report thereof to the National Chairman furnishing the Secretariat copy of the said report;
b) Submit a monthly report of its activities to the Secretariat;
c) Recommend to the National Chairman which of the Branches, Organs and Groups shall be given awards and commendations for meritorious service to the organization and the community exemplary performance as a Branch, Organs and Group.
d) Perform and discharge such other duties and functions as the National Chairman or the National Assembly may require the Commission to do from time to time.
Chapter XIII: NATIONAL COMMISSION ON AWARDS AND RECOGNITION
Section 39. The National Commission on Awards and Recognition
There is hereby created a National Commission on Awards and Recognition which shall be composed of a National Commissioner and two (2) Associate National Commissioners to be appointed by the National Chairman and whose appointments shall be approved or confirmed by the National Commission on Appointments.
Section 40. The National Commission on Awards and Recognition shall:
a) Institutionalize awards and recognition by classifying them through distinct and appropriate Names or Nomenclature.
b) Promulgate the rules, guidelines, policies and criteria which shall be considered, followed, observed and satisfied for the giving or bestowal of any such awards or recognition.
c) Be the sole judge of who shall receive and be given such awards and recognition.
d) Disseminate such rules, guidelines, policies and criteria to all Branches, Organs and Groups for their information and guidance.
e) Submit a monthly report of all its activities to the Secretariat.
f) Perform and discharge such other duties and functions as the National Chairman or the National Assembly may require the Commission to do from time to time.
Chapter XIV: THE NATIONAL COMMISSION ON APPOINTMENTS
Section 41. The National Commission on Appointments.
There shall be a Commission on Appointments consisting of a Grand Master Founder God-Father and two (2) Supreme Master Founders with Pioneer Master Founder God-Father Percival as National Commissioner, who shall constitute the Commission on Appointments of the GUARDIANS National District. Any vacancy, for any reason, shall be filled by the incumbent Pioneer Master Founder God-Father from among the Pioneer Master Founders.
Section 42. Powers, Duties and Functions.
The Commission shall have the power to approve or disapprove appointments by the National Chairman of those appointive National Officers whose appointments have been vested, by Constitution or Law in the National Chairman. The Commission shall return to the National Chairman the appointment submitted to it by the latter, which is, shall either approve or disapprove. If disapproved, it shall briefly state its reason for disapproving the appointment.
Section 43. No Reappointment.
The National Chairman shall not reappoint to the same National position the appointee whose appointment thereto shall have been disapproved by the Commission.
Section 44. Commission Meeting.
The Commission shall meet promptly and as often as there shall be appointments submitted to it by the National Chairman. It shall act on the appointments within five (5) days from their submission and shall return the appointment to the National Chairman and return the same to the latter within the same period, the said appointment shall be deemed approved.
Section 45. Term of Office.
The term of office of the members of the Commission on Appointment shall be co-extensive with their term as Master Founders of the GUARDIANS.
Chapter XV: THE GUARDIANS OFFICES AND POSITIONS
Section 46. Official Trust.
Any Office or Position created by the Constitution or statute, whether elective or appointive, is an Official Trust and shall be exercised in behalf of the GUARDIANS National District and its membership.
Chapter XVI: MEMBERSHIP, CHAPTER GRANT, FORFEITURE, TRANSFER OR REINSTATEMENT
Section 47. Composition to the GUARDIANS National District
The GUARDIANS National District shall be composed of National Branches, Sectoral Organs and Special Groups duly organized, chartered and affiliated with it in accordance with this Constitution, statutes and the GUARDIANS Administrative Code.
Section 48. Branch’s, Organ’s and Group’s name.
Each Branch, Organ, Group organized and chartered in accordance with the provision of the constitution, other statutes and the GUARDIANS Administrative Code shall adopt a name which shall precede the words GUARDIANS.
Unless otherwise changed or modified a Group may be organized and chartered in any locality in the Philippines as long as it shall have at least one hundred forty-four (144) members.
Section 49. Membership to the GUARDIANS National District.
Membership to the GUARDIANS National District shall be Branch, Organ or Group and shall be by application. It shall be open to any group GUARDIANS or not a GUARDIANS whose members shall be of age, of good moral character and reputation in the community and shall be actively engaged in some form of business, profession or gainful occupation.
Section 50. GUARDIANS Madonna Sorority (GMS).
Wives of bona fide Guardians may organize a GUARDIANS Madonna Sorority (GMS) under the auspices of the Branch, Organ, Group to which the bona fide Guardians belong but the formation of such shall be subordinate to and subject to the direction and control of the concerned Branch, Organ or Group.
Section 51. Classes of Membership.
Membership to the GUARDIANS shall either be Active or Honorary.
Active Membership. An Active Member shall have all the rights and privileges which are bestowed to him/her as a result of his/her direct membership to the Branch, Organ or Group and, if qualified, shall have the right to vote and be voted for any office in the Branch, Organ or Group as provided in the Constitution, other Statutes and the GUARDIANS Administrative Code. He/she shall also have duties and obligations which shall include, although not limited to the payment of national membership dues and other financial obligations requisite of the membership, the promotion of the good name and image of the GUARDIANS and his/her Branch, Organs or Group and of asserting a course of conduct reflective of the ideals of the GUARDIANS.
Honorary Membership. Honorary Membership may be conferred upon to any person not a Guardians, of national or international reputation for distinguished service to country, community and humanity, by a unanimous recommendation of the National Assembly. A Branch, Organ or Group may confer Honorary Membership to any person not a Guardians, who shall have possessed the above qualification by a two-thirds (2/3) vote of its Board of Directors or similar body.
Section 52. Charter Grant.
A Charter Grant may be given by the GUARDIANS National District to any Branch, Organ or Group duly organized anywhere in the Philippines in accordance with the Constitution, other Statutes and the GUARDIANS Administrative Code.
The Charter Grant shall be signed by the National Chairman attested by the Secretary General of the GUARDIANS National District and conformed to by the Charter Branch, Organ or Group Chief Executive.
Article XVII: Suspension, Expulsion and Termination of Membership
Suspension, Expulsion and Termination of membership – Shall be in accordance with the rules & regulation of the association.
Any Member of the Association may file charges against a member by filing a written complaint with the secretary of the association. The Board of Trustees shall call a special meeting to consider the charges. The Affirmative vote of majority of all the Trustees shall be necessary to Suspend a member, Provided that where the penalty is expulsion, The affirmative vote of majority of all the members of the association shall be necessary.
